Course overview

This course provides a practical overview of investment fund structures, fund functionaries, and the lifecycle of fund transactions, with reference to Mauritius fund structures and regulatory considerations. Participants wil gain an understanding of how funds are structured, governed, administered, and monitored across various asset classes. The programme covers key stakeholders within the Mauritius financial services framework and examines commonly used vehicles such as companies, PCCs, and limited partnerships. It also explores private equity deal lifecycles, due diligence, valuation, governance, and documentation, enabling participants to understand how funds operate from setup through to investment execution and value creation.

1. Understand Fund Structures and Asset Classes

  • Define what constitutes an investment fund
  • Distinguish between open-ended and closed-ended fund structures
  • Compare common fund vehicles including Unit Trusts, Companies, Protected Cel Companies (PCC), Incorporated Cel Companies (ICC), Variable Capital Companies (VCC), and Limited Partnerships
  • Understand how these structures are applied within the Mauritius regulatory environment
  • Identify key characteristics of major asset classes including Equity, Fixed Income, Private Equity, Real Estate, Hedge Funds, and Debt Funds

2. Analyse Roles and Responsibilities of Fund Functionaries

  • Explain the roles of the Promoter, Investment Advisor, Fund Manager, and General Partner
